Please read these terms carefully before engaging with Guangzhou Zhun Ming Packaging Printing Company. By placing an order or using our services, you agree to the terms outlined below.
Section 01
Acceptance of Terms
By accessing our website, requesting a quote, placing an order, or engaging in any business with Guangzhou Zhun Ming Packaging Printing Co., Ltd. ("Zhun Ming," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and Zhun Ming. If you do not agree with any part of these Terms, please refrain from using our services or placing orders.
We reserve the right to update or modify these Terms at any time. Continued use of our services following any changes constitutes your acceptance of the revised Terms.
Section 02
Our Services
Zhun Ming provides OEM/ODM manufacturing and customization services for a comprehensive range of packaging products, including but not limited to:
- Paper Packaging -- custom paper boxes, paper bags, tissue paper, and wrapping paper.
- Flexible Packaging -- poly mailers, bubble mailers, PE/OPP bags, and zip lock bags.
- Fabric Packaging -- drawstring bags, cotton bags, and non-woven bags.
- Branding Accessories -- hang tags, stickers, labels, ribbons, tapes, and packaging cords.
All services are subject to feasibility assessment, material availability, and mutual agreement on specifications prior to production commencement.
Section 03
Orders & Customization
All orders are subject to written confirmation. An order is considered accepted only after Zhun Ming issues a formal Order Confirmation or Pro Forma Invoice and the required deposit has been received.
Order Process
- 1Client submits design files, specifications, and quantity requirements.
- 2Zhun Ming provides a quotation and sampling timeline.
- 3Client approves physical or digital samples before bulk production.
- 4Deposit payment confirms order; bulk production commences.
- 5Balance payment upon completion; shipment arranged.
Any modifications to confirmed orders (including design changes, size adjustments, or quantity changes) must be communicated in writing. Zhun Ming reserves the right to adjust pricing and lead times accordingly. Changes requested after production commencement may incur additional costs.
Section 04
Payment Terms
All prices are quoted in USD unless otherwise agreed in writing. Quoted prices are valid for 30 days from the date of issuance and are subject to change based on raw material fluctuations.
Standard Terms
30% deposit upon order confirmation; 70% balance before shipment.
Long-term Partners
Flexible payment arrangements available upon mutual agreement for established clients.
Accepted payment methods include T/T (Bank Wire Transfer), PayPal, and other methods as agreed. All bank charges and transaction fees are the responsibility of the Client. Zhun Ming shall not be liable for delays caused by payment processing issues.
Overdue payments may result in order suspension and may incur a late payment fee of 1.5% per month on outstanding balances.
Section 05
Production & Lead Time
Lead times are estimated and commence from the date of deposit receipt and final artwork approval. Typical production timelines are as follows:

Lead times may vary during peak seasons (e.g., Q4 holidays), for large-volume orders, or due to circumstances beyond our control. Zhun Ming will communicate any anticipated delays promptly. We are not liable for delays caused by force majeure events, including but not limited to natural disasters, pandemics, or port disruptions.
Section 06
Shipping & Delivery
Zhun Ming ships to clients worldwide, with primary markets in the USA, Canada, Australia, Northern Europe, and Western Europe. Shipping terms (EXW, FOB, CIF, DDP, etc.) are agreed upon at the time of quotation.
Unless otherwise specified, orders are shipped EXW Guangzhou. The Client is responsible for all freight, insurance, customs duties, and import taxes. Zhun Ming can assist in coordinating freight forwarding upon request.
Risk of loss or damage transfers to the Client upon handover to the carrier. Zhun Ming takes care to ensure goods are properly packed for international transit; however, we are not liable for damage caused by carriers after shipment.
Delivery dates provided are estimates only. Zhun Ming shall not be held liable for late delivery caused by factors outside our control, including customs clearance delays, carrier disruptions, or force majeure events.
Section 07
Quality Assurance & Returns
Zhun Ming is committed to delivering consistent, high-quality products. Our materials are sourced from certified suppliers (FSC, PEFC, OEKO-TEX, GRS) and production is conducted across 16 advanced production lines with rigorous quality control procedures.
Upon receipt of goods, the Client must inspect the shipment within 7 calendar days and report any defects, shortages, or discrepancies in writing with photographic evidence. Claims submitted after this period may not be accepted.
Important Note on Custom Orders
As all products are custom-manufactured to client specifications, returns are not accepted for reasons of change of mind, incorrect specifications submitted by the Client, or minor color variations inherent to the printing process (within industry-standard tolerances of ±5%).
For verified manufacturing defects, Zhun Ming will, at its discretion, offer a replacement, partial credit, or full refund for the affected portion of the order. Zhun Ming shall not be responsible for defects arising from the Client's design files, incorrect specifications, or misuse of products.
Section 08
Intellectual Property
The Client retains all intellectual property rights to their brand assets, logos, designs, and artwork submitted to Zhun Ming. By submitting design files, the Client grants Zhun Ming a non-exclusive, limited license to use these materials solely for the purpose of fulfilling the agreed order.
Zhun Ming will not reproduce, share, or use the Client's proprietary designs for any purpose other than the Client's order without explicit written consent. Zhun Ming may use generic product images for portfolio or marketing purposes unless the Client expressly requests confidentiality.
The Client warrants that all submitted designs, logos, and content do not infringe upon any third-party intellectual property rights. The Client shall indemnify and hold Zhun Ming harmless from any claims arising from such infringement.
All proprietary manufacturing processes, tooling, and technical know-how developed by Zhun Ming remain the exclusive property of Zhun Ming.
Section 09
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information, trade secrets, or business-sensitive data shared during the course of the business relationship. This includes, but is not limited to, product designs, pricing structures, business strategies, and client lists.
Confidential information shall not be disclosed to any third party without prior written consent, except as required by applicable law or regulatory authority. This obligation of confidentiality shall survive the termination of any order or business relationship.
Upon request, either party may be required to sign a separate Non-Disclosure Agreement (NDA) for projects involving highly sensitive intellectual property or trade secrets.
Section 10
Limitation of Liability
To the maximum extent permitted by applicable law, Zhun Ming's total liability to the Client for any claim arising out of or in connection with these Terms or any order shall not exceed the total value paid by the Client for the specific order giving rise to the claim.
Zhun Ming shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, or loss of goodwill, even if advised of the possibility of such damages.
Zhun Ming is not liable for:
- Errors or omissions in artwork, specifications, or instructions provided by the Client.
- Damage or loss occurring after goods have been handed to the carrier.
- Delays attributable to force majeure, customs processes, or third-party logistics providers.
- Non-compliance of products with regulations in the Client's destination country, where Zhun Ming was not informed of specific requirements.
Section 11
Governing Law & Disputes
These Terms and all related agreements shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any order, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute.
If the dispute cannot be resolved through negotiation, it shall be submitted to the Guangzhou Arbitration Commission for arbitration in accordance with its rules. The arbitration shall be conducted in Mandarin Chinese, and the arbitral award shall be final and binding upon both parties.
